DIAGNOSTICS COLLABORATIONS

Laboratory Corporation of America

Laboratory Corporation of America® Holdings (LabCorp®) is a national clinical laboratory. LabCorp and Celera announced a collaboration agreement in October 2002 to establish the clinical utility of tests based on novel diagnostic markers for Alzheimer's disease, breast cancer and prostate cancer. LabCorp is currently working toward commercialization of breast cancer tests based on Celera's discoveries.

General Electric

This research collaboration was established July 2004 between General Electric, and Celera's Genomics and Proteomics divisions. The parties seek to understand and differentiate disease at the molecular level, which is expected to lead to new diagnostics and treatments that are tailored for a specific disease and/or patient population. The collaboration pairs Celera Genomics’ expertise in proteomics and genomics with GE’s global leadership in diagnostic imaging. The collaboration’s first project is intended to support GE’s development of novel diagnostic imaging agents for cancer that selectively target cell surface proteins that Celera Genomics has identified to be associated with cancer. The objective of this technology is to “see” cancer developing at the cellular level for early diagnosis and optimal treatment decisions. GE will have exclusive access to selected protein targets for research and development of medical imaging agents. The parties will share certain responsibilities and costs associated with research and development, as well as value from commercial products resulting from the project.

Merck & Co., Inc.

Merck & Co., Inc. and Celera announced a collaboration to identify novel targets for drug discovery and diagnostic markers related to Alzheimer's disease. Celera conducted a functional genome scan with the goal of identifying novel genetic associations with the disease. Merck receives rights for therapeutic applications from the studies in Alzheimer’s disease, as well as for certain other neurological disorders, while Celera retains rights for diagnostic applications from the studies. Merck will fund discovery research at Celera related to this collaboration.

Bristol-Myers Squibb

Bristol-Myers Squibb provides clinical samples and data for Celera's disease association studies in cardiovascular disease and diabetes. Bristol-Myers Squibb, a leading pharmaceutical and health care products company, will receive exclusive rights to develop and market drugs for cardiovascular disease and diabetes based on therapeutic targets identified in the studies. Celera retains exclusive rights to develop and market diagnostic products.

Specialty Laboratories

In June 2006, Celera granted Specialty a non-exclusive license to Celera’s risk markers for cirrhosis. The license agreement allows Specialty to select from among Celera’s genetic findings to develop and commercialize a genetic test that predicts risk of progression to liver cirrhosis in individuals infected with hepatitis C virus (HCV). Specialty intends to develop a constellation of single nucleotide polymorphisms (SNPs) based on Celera’s findings that predict risk of cirrhosis in patients with chronic HCV that are believed to be more useful than present clinical risk factors in managing the disease. The use of a combination of SNPs as a prognostic tool suggests information may be applicable to a larger number of HCV-infected individuals, may prove more robust across risk groups tested, and may have more compelling use for patient management than current methodologies.
